This Indemnification provision is incorporated into and forms part of the Terms of Use governing DateAndTimePro.com (the "Platform"), operated by Relationale LLC.
Protected Parties
References below to "Protected Parties" mean Relationale LLC, Keiron Brown, DateAndTimePro.com, and their respective employees, contractors, contributors, licensors, affiliates, technology providers, successors, and assigns (collectively, the "Protected Parties").
Indemnification
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE PROTECTED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, JUDGMENTS, AWARDS, FINES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATING TO:
- Your access to or use of, or inability to access or use, the Platform.
- Your misuse of the Platform or any calculator, planner, calendar, countdown, AI assistant, widget, downloadable material, or educational resource made available through it.
- Your violation of these Terms of Use or any policy posted in the Time Intelligence Trust Center.
- Your unlawful conduct or violation of any applicable law, rule, or regulation.
- Your reliance on the Platform beyond its intended educational purpose, including any reliance for legal, financial, medical, contractual, travel, broadcast, or safety-critical decisions without independent verification through authoritative sources.
- Your infringement or misappropriation of any third-party right, including any intellectual property or privacy right.
Cooperation
The Protected Parties may, at their option, assume the exclusive defense and control of any matter otherwise subject to indemnification by you. You agree to cooperate with the Protected Parties in asserting any available defenses.
Jurisdictional limits
Some jurisdictions restrict the enforceability of indemnification provisions. In such jurisdictions, this provision applies to the greatest extent permitted by applicable law.
